Terms of Service

1. Acceptance of Terms

By accessing or using Spawnbase ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

You must be at least 18 years old to use this Service. By using Spawnbase, you represent that you meet this age requirement.

2. Definitions

• "Platform" refers to the Spawnbase web application and related services.
• "Workflow" means an automation created using the visual canvas builder.
• "Agent" refers to an AI-powered component within a workflow that processes data using large language models.
• "Integration" means a connection to third-party services (e.g., Sentry, Slack) via Pipedream.
• "Run" refers to a single execution of a workflow.

3. Account Registration

To use Spawnbase, you must create an account using Google OAuth, GitHub OAuth, or Magic Link email authentication. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4. Service Description

Spawnbase provides:

• A visual workflow builder with AI Copilot assistance
• Workflow execution (manual and scheduled)
• Integration connections to third-party services
• Access to large language models via Cloudflare AI Gateway

5. Third-Party Services

Pipedream Connect

We use Pipedream Connect to enable integrations with third-party services. When you connect services like Sentry, Slack, or Gmail, your credentials are stored securely by Pipedream, not by Spawnbase. Your use of these integrations is subject to Pipedream's Terms of Service.

LLM Providers

Workflow prompts and data are routed through Cloudflare AI Gateway to language model providers including OpenAI, Anthropic, and others. Your use is subject to each provider's acceptable use policies. We do not control and are not responsible for the outputs generated by these models.

You are responsible for ensuring your use of third-party services complies with their respective terms.

6. User Data & Content Ownership

You retain ownership of your workflow definitions, configurations, and outputs. By using Spawnbase, you grant us a limited license to process, store, and display your content as necessary to provide the Service.

We may use anonymized and aggregated usage data to improve the Service.

7. Acceptable Use Policy

You agree not to:

• Use the Service for any illegal activities
• Send spam or engage in abusive automation
• Attempt to circumvent rate limits or security measures
• Use automated tools to scrape or extract data from the Service
• Violate the terms of integrated third-party services
• Interfere with or disrupt the Service or its infrastructure
• Impersonate others or misrepresent your affiliation

8. AI Features & Disclaimers

Spawnbase includes AI-powered features including the Copilot assistant and Agent nodes. You acknowledge that:

• AI Copilot suggestions are recommendations, not guarantees
• You are responsible for reviewing and testing all workflows before deployment
• AI outputs may contain errors, inaccuracies, or inappropriate content
• The Service should not be used for critical, life-safety, or high-stakes applications without appropriate human oversight

9. Beta Service

Spawnbase is currently in beta. By using the Service, you acknowledge that:

• Features may change, be modified, or removed without notice
• The Service may experience downtime or interruptions
• Data loss may occur despite our reasonable efforts to prevent it
• No service level agreements (SLAs) are provided during the beta period
• Feedback you provide may be used to improve the Service without compensation

10. Fees & Billing

The Service is currently free during the beta period. We reserve the right to introduce usage-based or subscription pricing in the future. We will provide reasonable notice before any pricing changes take effect.

11. Intellectual Property

The Spawnbase platform, including its design, code, features, and documentation, is owned by us and protected by intellectual property laws. You may not copy, modify, or reverse engineer any part of the Service.

Your content (workflows, outputs) remains your property. Any feedback, suggestions, or ideas you provide may be used by us without compensation or attribution.

12. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE UPTIME, ACCURACY, OR FITNESS FOR A PARTICULAR PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

13. Indemnification

You agree to indemnify and hold harmless Spawnbase, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Termination

We may suspend or terminate your account immediately if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Service or other users.

You may delete your account at any time. Upon termination, your data will be deleted within 30 days, except as required for legal compliance or legitimate business purposes.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the Service will be resolved through binding arbitration administered by a mutually agreed-upon arbitration provider, rather than in court. You may opt out of arbitration by notifying us in writing within 30 days of accepting these Terms.

Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.

Small Claims Exception: Either party may bring qualifying claims in small claims court.

16. Changes to Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email or prominent notice in the Service. Your continued use after changes take effect constitutes acceptance of the updated Terms.

17. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Spawnbase regarding the Service and supersede any prior agreements.

20. No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
